The ASF is a 501C3 non-profit corporation in the US - and there's a lot going on the corporate side of the ASF, to keep the corporate records and infrastructure that the many Apache projects you use working.

By Delaware corporate law, and per our bylaws, Directors are jointly responsible as the board with overseeing the ASF’s work:
“The business and affairs of the corporation shall be managed by or under the direction of the Board of Directors, which may exercise all such powers of the corporation and do all such lawful acts and things as are not by statute or by the Certificate of Incorporation or by these Bylaws specifically reserved to the members.”
Given our volunteer-run structure and our emphasis on the Apache Way, Directors are also expected to follow various behaviors like doing decision-making on our mailing lists. A more general description of how directors work is in our Board Governance section.

The Board noted at our May, 2019 meeting that we intend to clarify and expand on these duties, and ensure that each year’s board has the same shared understanding.
Directors are required to sign a Conflict of Interest affirmation, annually, along with principal officers (i.e. non-PMC officers), per a board resolution in 2020.
